Agreement to These Terms

These Terms and Conditions ("Terms") govern your use of offstreetonly.com (the "Site") and every purchase of products from Off Street Only, Inc. ("Off Street Only," “OSO,” "we," "us"). By using the Site, requesting a quote, or placing an order, you agree to these Terms.

Our products are professional tools sold to businesses, including bicycle shops, suspension service centers, and manufacturers, as well as DIY home mechanics and riders of our Suspension Components. If you place an order on behalf of a business, you confirm that you are authorized to bind that business to these Terms. Terms in your purchase order or other documents that conflict with or add to these Terms do not apply unless we agree to them in writing.

Orders, Pricing, and Payment

• Orders: An order is an offer to buy. It becomes binding only when we confirm it in writing or ship the product. We may decline or cancel any order, including for pricing errors or limited stock; if we cancel after you paid, we refund you in full.

• Pricing: Prices are in U.S. dollars and exclude shipping, duties, and taxes unless stated otherwise. Written quotes are valid for the period stated on the quote. We may change published prices at any time; changes do not affect confirmed orders.

• Payment: Payment is due at the time of order unless we approve other terms in writing. You authorize us to charge your selected payment method for the full order amount.

• Taxes: You are responsible for all applicable sales, use, and import taxes. If you claim a resale or tax exemption, you must provide a valid certificate before the order ships.

Shipping, Title, and Risk of Loss

Ship dates are estimates, not guarantees. We are not liable for carrier delays or delays caused by events outside our reasonable control.

Title and risk of loss pass to you when we hand the product to the carrier. Inspect every shipment on arrival. Report shipping damage or missing items to us within 5 business days of delivery, with photos of the product and packaging, so we can file a carrier claim.

Cancellations and Returns

• Cancellations: You may cancel an order at no charge before it ships. After shipment, the return terms below apply.

• Returns: You may return unused products in original, undamaged packaging within 15 days of delivery. Contact us first for a Return Authorization (RA) number; we do not accept returns without one.

• Costs.:You pay return shipping unless the return is due to our error or a warranty defect. Returns may be subject to a 10% restocking fee.

• Not returnable: Products that have been used, modified, ridden or damaged after delivery, and custom or special-order items, cannot be returned except under the Limited Warranty.

• Refunds: We issue refunds to the original payment method within 10 business days after we receive and inspect the return.

Intended Use, Safety, and Test Results

Our products are diagnostic and testing tools for technicians working on bicycle suspension. Consumers that are using it for home use can use it if they’re tecnically savvy and follow all written instructions. A hand dyno tool, when securely connected to a solid surface (e.g., workbench), can cycle suspension components to check for a number of items, as shown on the product page.

Operator responsibility: You are responsible for reading and following all product documentation, training your staff, securing the unit to a stable bench, and using appropriate eye and hand protection. Suspension components can store energy under pressure; follow the component manufacturer's service procedures before testing, servicing, or disassembling any shock or fork.

Limitation of Liability and Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, LOST DATA, OR DOWNTIME, ARISING FROM THE SITE OR ANY PRODUCT, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO A PRODUCT OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT THAT GAVE RISE TO THE CLAIM.

These limits do not apply where the law prohibits them, including liability for death or personal injury caused by our gross negligence or willful misconduct.

You agree to indemnify and hold harmless OSO and its owners, employees, and agents from claims, losses, and expenses, including reasonable attorneys' fees, arising from your use of the products, your service work on customer components, or your breach of these Terms.

Intellectual Property and Site Use

The Site, product documentation, designs, images, and the OSO name and logo are owned by us or our licensors. Buying a product gives you a non-exclusive, non-transferable right to use its included documentation to operate that product. You may not copy, reverse engineer, or resell our product or documentation, or use our name or logo without written permission.

Do not misuse the Site, including attempting unauthorized access, scraping, or interfering with its operation. Site content is provided for general information; specifications and features may change without notice.

Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute will be resolved exclusively in the state or federal courts located in Santa Cruz County, California, and both parties consent to that jurisdiction.

Before filing any claim, you agree to contact us and try in good faith to resolve the dispute informally for at least 30 days.

General

• Changes: We may update these Terms by posting a new version on the Site (see effective date at top of this page). The version in effect when you place an order applies to that order.

• Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including supplier shortages, carrier disruptions, natural disasters, and government actions.

• Severability: If any provision is found unenforceable, the rest of these Terms remain in effect.

• No waiver: Our failure to enforce a provision is not a waiver of our right to enforce it later.

• Entire agreement: These Terms, together with any written quote or order confirmation we issue, are the entire agreement between you and us about their subject.
